Terms of Service

This draft is prepared as a professional Terms of Service (ToS) for a Danish-based AI Agency (HOMA AI) operating in the B2B sector for EU and US clients.

TERMS OF SERVICE: HOMA AI

1. Acceptance of Terms

By accessing the services provided by HOMA AI (“the Agency,” “We,” “Us”), including lead generation, customer acquisition tools, and AI-driven SaaS solutions, you (“the Client,” “User”) agree to be bound by these Terms of Service. This is a legally binding agreement between HOMA AI and the business entity you represent.

2. Eligibility & B2B Limitation

Our services are strictly for Business-to-Business (B2B) use. By using our services, you warrant that:

You are acting for purposes relating to your trade, business, craft, or profession.

You are a legally incorporated entity or a registered sole trader.

You are at least 18 years of age.

3. Description of Services

HOMA AI provides AI-enhanced lead generation and customer acquisition services. We utilize third-party integrations, including but not limited to Google, GoHighLevel, and Stripe. You acknowledge that our services depend on the availability and terms of these third-party providers.

4. Financial Terms

Billing: Services are billed on a Monthly Subscription basis. Payment is due in advance of each service period.

No Free Trials: Unless otherwise agreed in writing, HOMA AI does not offer free trial periods.

Refunds: All payments are generally non-refundable. Case-by-case refunds may be considered only if a specific performance guarantee was agreed upon in writing prior to the billing cycle.

Payment Processing: All financial transactions are handled securely via Stripe.

5. Intellectual Property (IP)

Agency IP: HOMA AI retains all rights, titles, and interests in its proprietary AI workflows, prompt engineering, and software code.

Client Content & Outputs: You retain ownership of all data you upload (“Inputs”). HOMA AI does not retain ownership of the specific leads or content generated specifically for your business (“Outputs”).

Training Data: HOMA AI reserves the right to use anonymized and aggregated data derived from your use of the service to improve our AI models and algorithms, provided such use does not identify you or your customers.

6. AI Disclaimer & Limitation of Liability

AI "Hallucinations": You acknowledge that AI is a probabilistic technology. HOMA AI is not liable for "hallucinations," factual inaccuracies, or misleading content generated by the AI. Human-in-the-loop review by the Client is mandatory before acting on AI-generated leads or communications.

No Guarantee of Success: While our tools are designed to assist in customer acquisition, HOMA AI does not guarantee a specific number of leads, conversions, or revenue increases.

Third-Party Failures: We are not liable for service interruptions caused by Google, GoHighLevel, or Stripe.

Liability Cap: To the maximum extent permitted by Danish law, HOMA AI’s total liability for any claim shall not exceed the amount paid by the Client to the Agency in the three (3) months preceding the claim.

7. User Responsibilities & Prohibited Conduct

You agree to use HOMA AI lawfully and specifically agree not to:

Use the service for "jailbreaking," reverse-engineering, or unauthorized scraping.

Generate spam or content that violates the EU ePrivacy Directive or the US CAN-SPAM Act.

Violate the Fair Use policies of our partners (Google/GoHighLevel).

8. Termination

Termination for Convenience: Either party may terminate the partnership by providing one (1) month’s written notice.

Termination for Cause: HOMA AI reserves the right to suspend or terminate access immediately without notice if the Client fails to comply with company rules, payment obligations, or legal requirements.

9. Governing Law & Dispute Resolution

Governing Law: These terms are governed by the laws of Denmark.

Mandatory Arbitration: Any dispute arising out of or in connection with this contract shall be settled by mandatory arbitration in Aarhus, Denmark, in accordance with the rules of the Danish Institute of Arbitration.
